Description



  • Ensure the Corporate records for a significant number of entities are complete
  • Work with legal counsel and other advisors to prepare the appropriate documentation and ensure a complete and accurate set of corporate records
  • Draft and maintain internal service agreements and leases

Other tasks may include:

  • Accurately ensure the filing of annual returns for the corporations in the jurisdictions they operate
  • Draft basic transfer agreements In conjunction with legal counsel, perfectly maintain the corporate minute books and records Draft minutes and resolutions of the corporations Draft complex inter-company loan agreements Ensure all corporate information is up to date in the company’s data base On a biannual basis review the company’s records in Blueprint and compare with: the accountant's records, and the actual record book held by legal counsel; resolve any discrepancies; assist and support on a day to day basis the global implementation of Blueprint, the organization's global data base







Requirements


  • Bachelor of Arts with a focus on paralegal studies
  • Law clerk designation will be a benefit
  • experience working in a large corporate legal setting or law firm
  • Blueprint software experience would be a benefit
  • Excellent organizational abilities
  • Excellent communications skills
