Assistant Corporate Secretary - Mining Sector
Vancouver, BC


Our client is seeking an Assistant Corporate Secretary to join their Vancouver, B.C office. A well-known firm who now has producing mine sites and a long history of exploration and developing assets locally and internationally.

As the Assistant Corporate Secretary you will be working closely with the Corporate Secretary to ensure the proper maintenance of several public companies and their subsidiaries including share issuance transactions, administer Option and RSU Plan, corporate filings and other matters for these companies. This role is also responsible for filing appropriate reports with Canadian and U.S. regulatory agencies.


  • Board and Committee meetings: preparing notices and agendas and compiling and distributing comprehensive board packages; preparing and circulating an annual calendar of board and committee meetings and other key dates, and preparing an annual financial statement blackout calendar;
  • Maintaining a schedule of board and committee attendance and, in collaboration with the finance department, ensuring payment of directors’ fees;
  • Create and maintain key corporate documents required to administer corporate entities for the conduct of business in multiple jurisdictions, including the completion of share documents, corporate membership records and calculation of regulatory fees;
  • Maintaining the minute books of the Corporation and subsidiaries;
  • Prepare and circulating minutes of meetings and/or consent resolutions to Board of Directors;
  • Update various organizational charts, and subsidiary registers;
  • Maintaining the Corporation’s corporate governance materials, including all mandates, charters and policies;
  • Liaise with the company’s transfer agent, including the preparation of treasury orders, and maintain up to date lists of all issued and issuable securities and Share Capital;
  • Administration of the Company’s warrants, stock options, and RSU plans, and maintain records of grants, exercises, and cancellation;
  • Liaise with directors and officers to advise of reporting requirement with respect to insider trading and file SEDI Insider Report;
  • Complete continuous disclosure filings and ensure that the filings are made in a timely manner as required by the applicable securities legislation and stock exchange policies;
  • Assist in preparation of contracts and agreements as may be required;
  • Organize and maintain database of the Company’s contracts, agreements, and data room;
  • Recognize and support the Company’s mission, vision and values;

  • 5+ years paralegal, legal and regulatory filing experience, and relevant experience in securities and corporate, preferably with a Canadian publicly traded mining company;
  • Experience in mining sector, particularly with a mining company listed on the NYSE-American, Toronto Stock Exchange, TSX Venture Exchange, OTCQX;
  • SEDAR, SEDI, EDGAR, TSX SecureFile, BC Online, E-Service, V-File, and OTCIQ experience;
  • Have a high degree of integrity and professionalism;
  • Strong knowledge of corporate governance practices and corporate and securities regulatory reporting requirements;
  • Strong communication and writing skills
